This Agreement of Partnership is made as of October 28, 2003 by and between the undersigned partners.
Formation of Partnership
The partnership is based in Nigeria and must comply with all laws and regulations of the state.
Name of Partnership:
The partnership will be called .........................., hereafter referred to as " or "Partnership."
Term:
S&JS shall begin on October 28, 2003 and continue thereafter from year to year unless earlier terminated as hereinafter provided.
Purpose:

Meetings:

Capital Contributions:

Valuation:
The current value of the assets and property of ............, less the current value of the debts and liabilities of ...... (herein referred to as the "value" of ............), shall be determined on a quarterly basis or whenever deemed necessary by the financial reporter. The portfolio's date of valuation shall be One week preceding the date of the periodic meeting and hereinafter will be referred to as the "valuation date."
Capital Accounts:
There shall be maintained in the name of each partner, a capital account. Any increase or decrease in the value of S&JS on any valuation date shall be credited or debited, respectively, to each partner's capital account in proportion to the value of each partner's capital account on said date.
Management:

Sharing Profits and Losses:

Additional Partners:
Additional partners may be admitted at any time if need be, upon the unanimous consent of all the three partners in writing or at a meeting, so long as the number of partners do not exceed 50.
Voluntary Termination:
.............. may be dissolved by agreement of at least 80 percent of the partners. Notice of said decision to dissolve ........... shall be given to all of the partners. ..................shall thereupon be terminated by the payment of all the debts and liabilities of .... and distribution of the remaining assets either in cash or in kind to the partners or their personal representatives in proportion to their capital valuation accounts.
Withdrawal of a Partner\Death or Incapacity of a Partner:
Any partner may withdraw all of his/her interest. No partners will be allowed to withdraw a partial interest in ......... The withdrawing partner shall give notice in writing to the recording secretary which shall be appointed by the partners, but must bear in mind that the Secretary is NOT a member of the Board of Directors. ........ will distribute the withdrawing partner's interest at its earliest convenience (not to exceed 10 business days).
Purchase Price:
Upon the death, incapacity, or withdrawal of a partner, the partners will vote on one of three options for the resolution of the partner's withdrawal. A majority vote, without input of the withdrawing partner, will determine the chosen option.
Buyout refers to the purchase of the withdrawing partner's interest by the remaining partners in an amount equal to 90 percent of the withdrawing partner's capital account, increased by 0.4167 percent of the withdrawing partner's capital account for each month of membership in S&JS up to 100 percent, reduced by all fees associated with any transactions necessary to process the withdrawal.
Cash-out refers to the sale of ............ First I have 2 operations to fix my hearing and they do not work.
So science has failed me.Next people pray for me but it does not work so god has failed me - and when I fast I hurt my head.
Now some new people have approached me called Wolfram and Hart. They say they can help me but I must renounce god. They represent a number of demons and vampires in society with connections to the underworld.
I feel I will take them up on their offer as it is my last resort. If they fail I will owe them nothing, but if they return my hearing I will owe them a favour.

On the weekend I joined in a blood sacrifice ritual to Wotan. There were 66 people in attendance, all of us in need of some kind of healing.
It was the most amazing experienec of my life. I have never felt so powerful and full of energy, and for a few seconds I could hear! I could hear all the chanting of the gathering .. but then it went away.
Comrade Poochops tells me that next time I will hear for longer, and then longer and longer.
This is the closest I have come to hearing again in a long time.
